Platform Terms of Service

Housewell LLC (“Housewell,” “we,” “us,” or “our”) provides a hosted customer-experience and membership platform for home-service companies. These Platform Terms of Service (the “Agreement”) govern your company’s access to and use of that platform. By creating a platform account, connecting a tool, or otherwise using the platform, you (“you,” “Tenant,” or the “Company”) agree to this Agreement on behalf of your business and represent that you are authorized to do so. If you do not agree, do not use the platform.
1. What the platform is
The platform is hosted software that gives your business a modern marketing website, online booking, a customer portal, and a membership/recurring-revenue program, and that can connect to the field-operations software you already use. The platform is a software service; we are not a home-service contractor, we do not perform field work, and we are not a party to the agreements between you and your customers. You remain solely responsible for the services you sell and deliver to your customers.
2. Eligibility and accounts
The platform is for businesses only, not consumers. You must be a legitimate home-service business and provide accurate company, contact, and billing information and keep it current. You are responsible for your account credentials and for all activity under your account, and for the acts and omissions of your personnel and authorized users.
3. Your responsibilities
You are responsible for: the accuracy of the content, pricing, services, and service areas you publish through the platform; holding all licenses, insurance, and registrations required for the work you sell; complying with all laws that apply to your business, including consumer-protection, auto-renewal, marketing, and messaging laws; and obtaining any consents required to contact your customers. You will not present the platform or Housewell as the provider of your field services.
4. Connected tools (Jobber, Housecall Pro, ServiceTitan)
The platform can integrate with third-party field-operations tools that you already use. When you connect a tool, you authorize the platform to access and exchange data with that tool on your behalf (for example, to create customers and jobs from bookings made on your site). Your use of any third-party tool is governed by that provider’s own terms, and we are not responsible for third-party tools, their availability, or changes they make to their APIs. You may disconnect a tool at any time; the platform also offers a manual mode that requires no connected tool.
5. Your customers and their data
As between you and Housewell, the data about your customers that is collected or processed through the platform is yours. With respect to that data, you are the controller and Housewell acts as your processor/service provider, processing it only to provide and improve the platform and as described in the Platform Privacy Policy. You are responsible for providing any required privacy notices to your customers and for having a lawful basis to collect and share their information with the platform and any tool you connect.
6. Fees and billing
Fees, including any base subscription, per-active-member fees, and lead-network share, are as described in your order or on our pricing page at the time you subscribe. Unless stated otherwise, fees are billed on a recurring basis through our payment processor, are exclusive of taxes, and are non-refundable except where required by law. We may change fees on prospective notice (at least 30 days for recurring fees). Failure to pay may result in suspension or termination.
Sales tax on your sales. You are the seller of record for the services you sell to your customers and are solely responsible for determining whether your services are taxable, registering where required, and collecting and remitting all applicable sales, use, and other transaction taxes. The platform provides tools, including automated tax calculation at checkout, to help you collect tax, but Housewell does not assume your tax obligations and is not your tax advisor. If a marketplace-facilitator or similar law assigns collection or remittance responsibility to Housewell for a given transaction, the parties will cooperate to comply and adjust pricing and payouts accordingly; otherwise that responsibility remains with you.
7. The lead network
The platform may offer an optional lead network through which customer-initiated requests for trades you do not perform can be routed to other vetted businesses, and through which you may receive such requests. Where you participate, revenue from a routed lead is shared as described in your order (for example, a stated platform/Company split). Leads are customer-initiated; participation is optional; and we do not guarantee any volume, value, or outcome of leads.
8. Acceptable use
You will not misuse the platform, including by: using it unlawfully or to send unlawful or unconsented messages; misrepresenting your business, licensing, or pricing; uploading content you lack the rights to; attempting to access other tenants’ data; probing, scraping, or overloading the platform; or reselling the platform without our written consent. Each tenant’s data is isolated, and attempting to access another tenant’s data is a material breach.
9. Intellectual property
We and our licensors own the platform and all related software, designs, and templates. We grant you a limited, non-exclusive, non-transferable right to use the platform during your subscription. You own your own brand, content, and customer data; you grant us the limited rights needed to host and display your content and operate the platform for you. Feedback you give us may be used without obligation.
10. Confidentiality
Each party may receive the other’s confidential information and will use it only to perform under this Agreement and protect it with reasonable care. This does not apply to information that is public, independently developed, or rightfully received from a third party, or to disclosures required by law.
11. Disclaimers
The platform is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty regarding third-party tools or the results of the lead network. We do not warrant that the platform will be uninterrupted or error-free.
12. Limitation of liability
To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, and Housewell’s total liability arising out of or relating to the platform in any 12-month period will not exceed the fees you paid to Housewell for the platform in that period. Nothing here limits liability that cannot be limited under applicable law.
13. Indemnification
You will defend and indemnify Housewell against third-party claims arising from your services to your customers, your content, your breach of this Agreement or of law, or your failure to obtain required consents from your customers.
14. Term and termination
This Agreement runs while your account is active. Either party may terminate for the other’s material breach that is not cured within a reasonable period, and you may cancel as described in your order. We may suspend or terminate for non-payment, legal risk, or material breach. On termination, your right to use the platform ends; we will make your data available for export for a reasonable period and then may delete it as described in the Privacy Policy.
15. Changes to the platform and these terms
We may improve, change, or discontinue features. We may update this Agreement; if a change is material, we will give reasonable notice and update the “Last updated” date, and continued use after the effective date means you accept the change.
16. Governing law and disputes
This Agreement is governed by the laws of the State of Texas, without regard to conflict-of-laws rules. The state and federal courts located in Bexar County, Texas have exclusive jurisdiction over disputes, and each party consents to that jurisdiction and venue.
17. Miscellaneous
If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign this Agreement without our consent; we may assign it to an affiliate or successor. This Agreement, with your order and the Platform Privacy Policy, is the entire agreement between you and Housewell about the platform.
